GapRail Terms of Service

These Terms of Service ("Terms") govern your use of GapRail, a scheduling and task-management service operated by TaskForth LLC ("TaskForth," "we," "us," or "our"), including the application at app.gaprail.com and the website at www.gaprail.com (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use GapRail

You must be at least 18 years old to use the Service. By using GapRail, you represent that you are 18 or older and able to enter into a binding agreement. If you use GapRail on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.

2. Your account

You are responsible for your account credentials and for all activity under your account. Keep your password secure and notify us promptly at info@gaprail.com if you suspect unauthorized use. You agree to provide accurate account information and keep it current.

3. The Service

GapRail connects to the calendar accounts you choose to link, identifies free time between your events, and helps you plan which tasks fit that time. Optional features may create events on your calendar when you enable them. Your use of connected third-party services (such as Google, Microsoft, or Apple calendars) is also subject to those providers' terms. How we handle your information is described in our Privacy Policy, which is part of these Terms.

4. Subscriptions and billing

Some features of the Service require a paid subscription. Prices and plan details are presented at the time of purchase. Subscriptions are billed in advance on a recurring basis (for example, monthly) through our payment processor and renew automatically until canceled.

30-day money-back guarantee. If GapRail isn't right for you, contact us at info@gaprail.com within 30 days of your first subscription payment and we will refund that payment in full.

You may cancel at any time, and cancellation takes effect at the end of the current billing period; beyond the 30-day guarantee and except where required by law, payments are non-refundable and we do not provide credits for partial periods. We may change prices with reasonable advance notice; changes apply from your next billing period.

5. Free trials and beta features

We may offer free trials, beta features, or early-access versions of the Service. These are provided as-is, may change or end at any time, and may be less reliable than generally available features.

6. Acceptable use

You agree not to: (a) use the Service in violation of any law; (b) interfere with or disrupt the Service or attempt to access it by any means other than the interfaces we provide; (c) probe, scan, or test the vulnerability of the Service without our written permission; (d) reverse engineer or copy the Service or use it to build a competing product; (e) resell or sublicense the Service; (f) upload malicious code or content that infringes others' rights; or (g) use another user's account without permission.

7. Your content

You retain ownership of the tasks, notes, files, and other content you submit to the Service. You grant us a limited license to host, process, and display that content solely to provide and improve the Service for you, consistent with our Privacy Policy. You are responsible for your content and must have the rights necessary to submit it.

8. Our intellectual property

The Service, including its software, design, and branding, is owned by TaskForth LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own personal or internal business purposes in accordance with these Terms.

9. Scheduling assistance, not guarantees

GapRail provides planning assistance, including estimates of how long tasks may take and suggestions about what fits your available time. These estimates and suggestions are informational, may be generated with the help of automated or AI systems, and may be inaccurate. You are responsible for your own schedule, commitments, and decisions. The Service depends on the accuracy and availability of the calendar data you connect; we are not responsible for missed events, double-bookings, or other outcomes of relying on the Service.

10. Third-party services

The Service interoperates with third-party services (such as calendar providers and payment processors). We do not control those services and are not responsible for them. If a third-party provider changes or discontinues access, some features of GapRail may become unavailable.

11. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service; where practical, we will give you reasonable notice. Upon termination, your right to use the Service ends, and the handling of your data is governed by our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 7–14) survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TASKFORTH LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold TaskForth LLC harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Arkansas, and you consent to their jurisdiction, except that either party may seek relief in small-claims court where eligible.

16. Changes to the Service or these Terms

We may modify the Service over time, and we may update these Terms. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised Terms.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and TaskForth LLC regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
